the vissionaries health support foundation is non-profit organisation base in Ghana in the western part of africa.our aim among the others are to provide good healthcare to the nation,especially fightinng against malaria,T.B,HIV/AIDS providing good health to the prisoners providing some of the health facilities the clinics in the remote area,and all kinds of diseases.we go further to creat bore holes in the deprived area and fighting child traficking,but our major area is on health, 








PREAMBLE

 

 

 

IN THE NAME OF THE ALMIGHTY GOD

 

We the members of VISSIONARIES HEALTH SUPPORT FOUNDATION

 

IN EXERCISE of our rights to create a framework of rules to regulate the operations and activities of VISSIONAREIS HEALTH SUPPORT FOUNDATION;

 

HAVING CONSIDERED that the level of poverty, drug abuse, child trafficking and under development in most communities is on the increase to the extend that the vulnerable, especially the needy, orphans and widows among others that cannot afford health care and other basic needs of life;

 

BELIEVING that provision of financial assistance, digging of bore holes, free health care delivery as counseling on health related issues and child trafficking will help reverse the trend and contribute in the development of the deprived communities;

 

BEING RESOVLED to create a not-for-profit organization to better the lot of beneficiary communities in every manner possible;

 

DO HEREBY ENACT, ADOPT AND GIVE TO OURSELVES THIS CONSTITUTION.

 

 

ARTICLE ONE-NAME

 

The name of the organization shall be VISSIONARIES HEALTH FOUNDATION and hereinafter referred to the Republic of Ghana, without any political inclinations or affiliations.

 

 

ARTICLE TWO-AIMS AND OBJECTIVES

 

The aims and objectives of the foundation shall be

 

1. Providing health care for the needy, orphans and the widows.

2. Digging boreholes in rural and deprived areas.

3. Fighting against drug abuse and child trafficking.

4. To educate, counsel and provide people with information on how to avoid teenage/unwanted pregnancy and sexually transmitted diseases.

5. To develop model rural health centers in Ghana and to promote education on hygiene and sanitation.

 


5.1. CHIEF EXECUTIVE OFFICER (CEO)

 

       a. Chief Executive Officer shall manage and lead the foundation and shall be answerable to the Executive Committee for the outcome of the foundations objectives and activities.

       B.He shall preside over all general and executive meetings.

       C.He shall have control and exert all powers over the foundation as deemed appropriate.

      D.He shall be a signatory to the foundation’s banks account and shall authenticate and validate all documents in the name of the foundation.

 

5.2. ASSITANT CHIEF EXECUTIVE OFFICER

 

     a. Shall deputize and assist the CEO in the performance of his duties

     B.Shall at in the capacity of the CEO in the event of the absence of the CEO.

     C.Shall be answerable to the CEO.

 




5.3. MANAGER

 

   a. He/shall be responsible for the day to day management of the foundation in consultation with the CEO.

   b.He/shall drive the strategies of the foundation and advise the Executive Committee accordingly.

   c.He/She shall be a signatory to the foundation’s bank account.

 

5.4. GENERAL SECRETARY

 

The General Secretary of the foundation shall perform the following duties:

 

     a. Summon all meetings of the Executive Committee and the general membership in consultation with the CEO.

     b.Keeping minutes and records of all meeting and projects of the foundation.

     c.Deal with correspondence and also summit periodic reports on the activities of the foundation to the Department of Social Welfare and other agencies as may be required by law.

 

5.5. TREASURER

  

   The treasurer shall be the Financial Secretary of the foundation performing such functions as;

 

      a. Preparing annual budgets in consultation with the Executive Committee.

      b.Keeping financial records and issuing financial reports annually.

      c.Being a signatory to the foundation’s banks account.

      d.Offering technical advice on all financial operations.

 

 

5.6. PROGRAMME COORDINATOR(S)

 

       a. He/shall in consultation with director, plan and implement all programmes and projects which are inline with the aims and objectives of the foundation.

       b.Research into areas of interest of the foundation.

 

5.7. BOARD OF ADVISERS

     

     a. The foundation shall have a boars or advisors consisting of 5 members including the CEO.

The other 4 members of the board shall be independent individuals’ with various life experiences from both social and corporate markets.

     b.The board shall be the main source of advisory machinery where the CEO hall have unlimited access to advise and guidelines as to how best the foundation may achieve it goals without losing focus. The board shall also serve as discussion forum for programmes and activities of the foundation.

 

 

 

ARTICLE SIX-TERMINATION OF MEMBERSHIP AND APPOINTMENT

 

6.1. Any person who may want to terminate his or her membership of the foundation can do so without fear or intimidation through writing to the Executive Committee, one week prior to the termination of membership.

 

6.2. The foundation shall not terminate the appointment of any appointed executive unless on the following g grounds:

 

1.          Protracted ill health

2.          insanity

3.          Proven dishonesty

4.          Financial misappropriation

5.          Any issue that compromise the good status of the foundation

 

6.3. With regards to sub-sections(1)and(2) of the article 6 section 2,any accused executive member(s) shall have the right to fair hearing before his/her appointment is terminated or otherwise if found guilty or otherwise respectively.

 

 

ARTICLE SEVEN-MEETINGS

 

7.1. The Executive Committee shall hold quarterly meetings as well as emergency meeting as the need arises.

 

7.2. There shall also be general meetings to be held monthly including emergency meetings which could be held within three (3) days notice.

 

7.3. Quorum of all meetings shall be two-thirds (2/3) of all membership.

 RTICLE THREE-VISION

 

A

The foundation has a vision of supporting areas deprived of health facilities and also set up medical facilities to research into causes of diseases and provide relevant solutions thereby bringing hope to the people.

 

 

ARTICLE FOUR-MEMBERSHIP

 

The foundation shall have Executive Committee which shall be the highest body to formulate policies and adopt strategies for implementation towards the achievement of the goals of the foundation. The Executive committee shall comprise the following:

 

               1. Chief Executive officer

               2. Assistant Chief Executive officer

               3. Managers

               4. General Secretary

               5. Treasurer

               6. Pogramme Coordinator

               7. Board of advisors
